[0:01:26] Trustee Patrick (probable): as possible, so I'm going to skip introductions today purposely so that we have more time for

[0:01:31] Trustee Patrick (probable): our discussion. That's okay with everyone. So we're at item six, which is the Code of Conduct

[0:01:37] Trustee Patrick (probable): workshop. The session outlines on page 11, and I'm going to turn to CAO Brony for the introductions.

[0:01:44] Voice 6: Good morning, Chair. Thank you. So yeah, this meeting was originally requested by Council

[0:01:50] Voice 6: to have a committee of the whole session to discuss potential changes to our existing Code

[0:01:53] Voice 6: of Conduct. Since then, as most of you know, the province announced its intent to introduce

[0:02:00] Voice 6: legislative changes related to Codes of Conduct for local government, which we are presuming

[0:02:05] Voice 6: will ultimately include Islands Trust. That legislation is expected to be introduced in

[0:02:10] Voice 6: the spring and if passed would take effect following next October's election, so likely

[0:02:16] Voice 6: would apply them to the next incoming Trust Council. We don't know for sure yet, but we'll

[0:02:21] Voice 6: know once that legislation is tabled, but we expect it might actually supplant our existing

[0:02:26] Voice 6: code. So that being the case, staff recommendation was that we proceed with this session but maybe

[0:02:31] Voice 6: focus it more on less on changes to our existing policy and more on how we can better support a

[0:02:38] Voice 6: new council and understanding its obligations related to conduct whether that's an update to

[0:02:42] Voice 6: our own policy when we get there or a provincially legislated one that comes into force so of course

[0:02:48] Voice 6: that doesn't preclude us amending our own policy but we'll probably would be best to wait and see

[0:02:53] Voice 6: what happens in the spring with legislation so i felt it was um felt it was good to still go ahead

[0:02:58] Voice 6: with this as requested by trust council but we may shift the um we may shift the focus a little bit

[0:03:04] Voice 6: um when we get to the open discussion around it we would welcome your input particularly on

[0:03:09] Voice 6: regardless of whatever code applies how we can best support trustees um particularly incoming

[0:03:16] Voice 6: trustees and that would help inform some of our planning for orientation of a of a new council

[0:03:21] Voice 6: as well so that i think will be the the general thrust of of today's discussion thank you chair

[0:03:36] Voice 2: I have a question and then I'd be happy to make the motion. But this year, I believe you said we presume that Islands Trust is going to be included, but that means to me then there's some question we're not certain. Is that correct?

[0:03:57] Voice 6: look like but we're like i say we're we're assuming it will and that may be a question that

[0:04:02] Voice 6: council will want to consider is whether or not we want to communicate a desire to the province

[0:04:06] Voice 6: to ensure that we are or aren't included um depending on your perspective yeah

[0:05:55] Voice 6: I think if trustees want to give some consideration

[0:05:59] Voice 6: to whether or not they want to provide direction on updating our draft code of our code of conduct

[0:06:07] Voice 6: at this time and also the question of whether or not they want to provide direction around

[0:06:15] Voice 6: correspondence to the ministry with regard to inclusion of islands trust in the proposed

[0:06:20] Voice 6: legislative changes i think those two questions would be helpful and then if there's time allows

[0:06:27] Voice 6: as we had suggested perhaps some thoughts from trustees

[0:06:30] Voice 6: on how we support orientation of a new trust council

[0:06:35] Voice 6: on the question of conduct as well,

[0:06:37] Voice 6: regardless of whether there's a new provincial code

[0:07:01] Voice 5: Yeah, I mean, it seems to me if the province is undertaking this work, it you know, I mean, it's I think it's been valuable to have conversation.

[0:07:10] Voice 5: I think it is valuable for us to think about what we you know, what we want to see in that sort of stuff so that we can evaluate when the provincial regulation comes in.

[0:07:20] Voice 5: If we want to go above and beyond what they're requiring, if we're indeed able to.

[0:07:24] Voice 5: too. But I don't think it's worth it for us to duplicate their efforts. And I certainly know

[0:07:30] Voice 5: that we have a lot on our plate. We're asking a lot of our staff anyways. So my strong

[0:07:36] Voice 6: suspicion

[0:07:37] Voice 5: is that we should leave this for now and then, you know, next term can, you know, evaluate that.

[0:07:45] Voice 5: And we can potentially towards the end of the term, if we find that the provincial regulations

[0:07:51] Voice 5: that will have come out by then seem like they are lacking to us,

[0:07:56] Voice 5: then we can perhaps draft a message to the future term

[0:08:01] Voice 5: to see what they think or to give them our thoughts, rather.

[0:08:05] Voice 5: But I don't think it makes sense for us to continue with this currently.

[0:08:21] Voice 2: I think it's important and it's related to reaching out to the province because I think it's important to discover whether, in fact, Islands Trust will be included in this potential legislation before we expend staff time and resources to do work which may end up being unnecessary or completely supplanted by the provincial legislation.

[0:10:02] Voice 9: as a whole makes a recommendation, EC would probably seek transfer instruction if it had

[0:10:17] Voice 8: Thanks. I was going to make the exact same point. I think that would be a very good best practice

[0:10:23] Voice 8: to move forward with regardless of what the legislation comes out with if they do include

[0:10:28] Voice 8: that then we've already started the groundwork and if they don't it's something that should be

[0:10:32] Voice 8: included regardless so I don't think that work would be wasted and if we wait until the legislation

[0:10:37] Voice 8: comes out and we find that it is not applicable to us or most of the work is already done I don't

[0:10:44] Voice 8: want to lose the momentum because by the time it comes out in late spring that's not going to

[0:10:50] Voice 8: that's going to leave us like one quarter to to get work done before elections so um from a timely

[0:10:57] Voice 8: manner i think this uh this is this is an important step to take thank you all right thank

[0:12:12] Voice 6: uh there's a recommendation that we correspond with the ministry requesting that islands trust

[0:12:25] Trustee Patrick (probable): been waiting for this conversation so trustee Peterson uh

[0:12:29] Voice 2: I absolutely think that we should

[0:12:32] Voice 2: and I have prepared a motion uh chair and and sent it to staff um when uh such a motion is appropriate

[0:12:47] Trustee Patrick (probable): a having a conversation with the province would be welcomed all right uh we can deal with the

[0:13:06] Trustee Patrick (probable): thoughts regarding onboarding um new trustees at the after the election trustee evans your

[0:13:18] Trustee Patrick (probable): on the wheel that's uh where they belong um anyone have questions on the onboarding or thoughts on

[0:13:30] Voice 10: i think that the timing um if the if the minister brings in

[0:13:36] Voice 10: legislation uh in the spring um that it gets tabled and there's some presumably some idea of

[0:13:44] Voice 10: what the final result might be, then I think that we would have enough time to figure out

[0:13:51] Voice 10: what it is that we wanted to say to the new trustees in terms of the package.

[0:13:56] Voice 10: And I think that our timeline on the onboarding committee is for September of next year.

[0:14:05] Voice 10: You have to correct me, CAO Broney, but that we have enough time working with the draft

[0:14:12] Voice 10: that we've got and whatever amendments come in in the spring.

[0:14:14] Voice 10: then we should be able to have some idea of what it is we want to say to the newbies by September.

[0:14:21] Voice 10: So it would be, considering this package in terms of a code of conduct, no later than September.

[0:14:33] Voice 10: Would that work, CAO Bruny?

[0:14:36] Voice 6: Yeah, thank you, through the chair.

[0:14:38] Voice 6: Yeah, I think we would certainly be in a position before then to know where the provincial piece landed

[0:14:43] Voice 6: and then be able to we're hoping by certainly by september to have the majority of our content and

[0:14:49] Voice 6: approach for onboarding um at least in the draft format we have also tentatively um planned to have

[0:14:56] Voice 6: restarting for young anderson um scheduled for a session for uh incoming trust council and to

[0:15:03] Voice 6: address conduct as one of the priority areas for a new council in addition to some some broader

[0:15:10] Voice 6: legal constructs. So there, I think, you know, regardless of whether there is a new provincial

[0:15:15] Voice 6: model or a current or updated code for our piece, that'll be a feature of the onboarding for sure.

[0:15:22] Voice 6: It's just a question of where we're going to land from a policy perspective and what that content

[0:15:26] Voice 6: would be. But yeah, I think for September, we would aim to have a pretty good sense of what we

[0:15:30] Voice 6: would say for that portion of the onboarding.

[0:15:37] Voice 5: Yeah, I mean, onboarding has been a particular focus for me over the course of the term,

[0:15:42] Voice 5: just in terms of what I've learned and everything else.

[0:15:45] Voice 5: So I'm very keen to see that we have a clear summary of the provincial legislation available

[0:15:54] Voice 5: for candidates.

[0:15:56] Voice 5: And I mean, to some degree, I think there's going to be some value in making sure that

[0:16:02] Voice 5: that this sort of material is available before they finally submit for candidacy.

[0:16:08] Voice 5: Obviously, that shrinks the timeline further and, you know, it will be whatever we can manage.

[0:16:13] Voice 5: But I think the more information we can give to people who are, you know, seeking to run for office, the better.

[0:16:21] Voice 5: And, you know, if that information comes to them once they're already a candidate, that's also fine.

[0:16:26] Voice 5: But I think the sooner we can get a clear communication of, you know, the whole of the roles and responsibilities of being a trustee, you know, the better the better empowered, you know, our candidates and then new trustees will be in through this process.

[0:16:43] Voice 5: So, yeah, that's I think that's very important. And I'm glad that we're that there's a plan in place that's coming up.

[0:17:46] Voice 11: it would set out some much better guidelines for incoming trustees so if the provincial legislation

[0:17:52] Voice 11: isn't tabled or doesn't include us i think an improved draft or an improved code of conduct

[0:18:27] Trustee Fast (probable): Like my, I actually think it should be now because I, looking at my experience, I had to think how, what commitments would be involved a year ahead before I thought about would I actually run?

[0:18:42] Trustee Fast (probable): and was I informed, as well informed as supporters might be or think they are?

[0:18:53] Trustee Fast (probable): I think there's more people on the public side that might benefit from this kind of information

[0:19:01] Trustee Fast (probable): before they even decide whether they're going to run.

[0:19:05] Trustee Fast (probable): Will I stand for appointment if it's my island that only has nobody running against me?

[0:19:16] Trustee Fast (probable): Like, I think the, anyway, for me, I don't, you know, not a wealthy person.

[0:19:23] Trustee Fast (probable): I don't, I had to think carefully about whether I could take on this commitment.

[0:19:32] Trustee Fast (probable): in terms of could I bring something to the role?

[0:19:41] Trustee Fast (probable): Could I do it without and still make a living?

[0:19:46] Trustee Fast (probable): Could I, did I have time to go to a few other LTCs

[0:19:54] Trustee Fast (probable): and things and see how the Islands Trust worked?

[0:20:26] Trustee Fast (probable): So long winded. Sorry about that. I think if we don't see any legislation or info from the province that legislation is coming, that there will be a mandated code of conduct, say by April, then we should definitely put something out.

[0:20:54] Voice 2: appreciate the conversation. And I know that the onboarding group is probably going to meet relatively soon. CEO could maybe confirm the date. So I think any comments that any members of that group are hearing today are useful.

[0:21:18] Voice 2: useful. To circle back, Trustee Elliot's notion about sort of having a plan B, I think is not a

[0:21:35] Voice 2: bad idea at all. And I think as part of that, it would be very useful for us to have a little bit

[0:21:44] Voice 2: of an investigation of what type of options there would be for a third-party investigator

[0:21:53] Voice 2: or integrity or ethics commissioner if we do rewrite the code to remove or alter the

[0:22:05] Voice 2: roles of the CAO and executive committee, which I think is certainly worthy of serious

[0:22:12] Voice 2: consideration but we it would be helpful to know um sort of what resources are out there what other

[0:22:20] Voice 2: options are and what they might cost um and again i wouldn't want to uh spend a bunch of

[0:22:27] Voice 2: uh of time and resources doing that right now but as part of the plan b i think that should

[0:22:34] Voice 2: be considered all

1. CALL TO ORDER   
Chair Patrick called the meeting to order at 9:00 a.m. 
2. TERRITORIAL ACKNOWLEDGEMENT 
Chair Patrick acknowledged that the meeting was held on the territory of the Coast Salish 
First Nations. 
3. APPROVAL OF AGENDA 
By general consent the agenda was approved as presented. 
4. ADOPTION OF MINUTES 
4.1 Draft Committee of the Whole July 9, 2025 Special Meeting Minutes 
By general consent the Committee of the Whole Meeting minutes of July 9,  
2025 were adopted. 
5. FOLLOW UP ACTION LIST 
There were no items on the Committee of the Whole Follow Up Action List.  
6. CODE OF CONDUCT WORKSHOP - SESSION OUTLINE 
The Chief Administrative Officer introduced the purpose of the meeting, noted that the BC 
Provincial Government had announced its intent to introduce legislative changes to codes 
of conduct for local government in the spring, and indicated Committee of the Whole might 
choose to wait for details on the legislative changes prior to completing updates on Islands 
Trust Standards of Conduct policy. 
7. CLOSED MEETING

It was MOVED by Trustee Peterson, and SECONDED by Trustee Elliott, 
that the meeting be closed to the public subject to Sections 90(1)(i) of the 
Community Charter in order to consider matters related to the receipt of advice that 
is subject to solicitor-client privilege, including communications necessary for that 
purpose; and that staff attend the meeting. 
CARRIED 
The  meeting was closed to the public at 9:06 a.m. and reopened at 10:44 a.m. 
Trustee Falck left the meeting at 10:44 a.m.

Chair Patrick noted there was nothing to rise and report. 
9. BUSINESS 
9.1 Code of Conduct - Discussion

Committee of the Whole discussed next steps regarding recommendations to revise 
the Islands Trust Standards of Conduct. 
 
Staff noted that the Province has indicated it plans to bring in new legislation in 
relation to the Code of Conduct in 2026. 
Trustee Gauvreau left the meeting at 11:10 a.m.

It was MOVED by Trustee Peterson, and SECONDED by Trustee 
Borthwick, 
that Committee of the Whole recommend that Executive Committee engage 
with the Province on Islands Trust inclusion in potential legislation on Code 
of Conduct, and opportunities for engagement on content.

TC-COW-2025-043 
It was MOVED by Trustee Elliott, and SECONDED by Trustee Gedye, 
that Committee of the Whole recommend that Executive Committee 
request staff monitor provincial legislation and, if new code of conduct 
legislation is not proposed, or if Islands Trust is not included in the 
legislation, that an updated draft Code of Conduct policy be advanced for 
consideration of Trust Council in September 2026.

   It was MOVED by Trustee Gedye, and SECONDED by Trustee Evans, 
that Committee of the Whole recommend that Executive Committee 
request staff to consider amendments to the Standards of Conduct Policy to 
address the involvement of the Chief Administrative Officer and Executive 
Committee in the review panel procedures.
