[0:01:25] Trustee Smith (probable): here today from Gabriola Island in Snenemoch First Nation Territory, and I'm greeting you from

[0:01:31] Trustee Smith (probable): Metulia in the territory of the Lekwungen-speaking people known today as Esquimalt and Songhees

[0:01:37] Trustee Smith (probable): First Nations. We are here as board members and staff for the Islands Trust Conservancy,

[0:01:43] Trustee Smith (probable): which in July of 2016 adopted a reconciliation declaration worthy of repeating,

[0:01:50] Trustee Smith (probable): for I believe that the Islands Trust Conservancy has made significant steps

[0:01:55] Trustee Smith (probable): to honour our pledge to First Nations in the Islands Trust area.

[0:02:00] Trustee Smith (probable): So that pledge was made almost five years ago now.

[0:02:04] Trustee Smith (probable): The Islands Trust Conservancy acknowledge that the lands and waters of the Salish Sea

[0:02:10] Trustee Smith (probable): have been home to Indigenous people since time immemorial.

[0:02:14] Trustee Smith (probable): We recognize that we are intertwined in the ecosystems

[0:02:18] Trustee Smith (probable): that are the lands, waters, culture, and ecology that embody this place.

[0:02:24] Trustee Smith (probable): The Islands Trust Conservancy strives to create opportunities

[0:07:28] Trustee Smith (probable): January 23rd, 2024 regular meeting minutes. And I did have one correction to that. I didn't

[0:07:39] Voice 5: and so she has it it was essentially related to uh comments at the trust council from

[0:07:47] Voice 5: september or december uh

[0:07:55] Voice 8: and it was just removing the reference to the natural area tax exemption program

[0:08:44] Trustee Smith (probable): so this is great because we still have Claire here and the first item is the ITC plan the

[0:08:50] Trustee Smith (probable): minister's response and the project charter I expected this might have a bit of discussion or

[0:08:55] Trustee Smith (probable): I could be wrong so who wants to introduce that is that you I

[0:08:59] Voice 5: think I'll take that but I'm happy

[0:09:02] Voice 5: to have Clara leap in if she has anything to add. I'll make sure I give that space.

[0:09:17] Voice 5: So on January 29th the board received a response regarding the ITC plan and for those who are

[0:09:25] Voice 5: present online and for the record essentially the minister declined to approve the ITC plan

[0:09:30] Voice 5: and requested that the board essentially do further engagement with First Nations on the

[0:09:37] Voice 5: next iteration of the plan which she would like to see um in the beginning or before the beginning

[0:09:44] Voice 5: of 2026 um in the so the the letter that was provided and it's it's in your package was very

[0:09:53] Voice 5: focused on new acquisitions going forward and as um any and did mention that anything that is

[0:10:00] Voice 5: currently underway can continue and remain underway um but that any new um acquisitions

[0:10:07] Voice 5: or covenants needed to come to the minister essentially for review before the board

[0:10:13] Voice 5: signs off on them essentially. I've had further conversations with the minister's office about

[0:10:19] Voice 5: what that means and essentially what they've come back with is that they would like early

[0:10:24] Voice 5: information that we've received an application but essentially they will start reviewing it

[0:10:28] Voice 5: after the board has reviewed it and agreed to move forward with it and after First Nations

[0:10:34] Voice 5: have had a chance to engage on it and provide their input.

[0:10:39] Voice 5: So the way the board's current policies go,

[0:10:41] Voice 5: you receive it, you review it,

[0:10:44] Voice 5: you approve moving forward and direct staff

[0:10:46] Voice 5: to move forward on an application.

[0:10:47] Voice 5: We will then refer it to First Nations for comment.

[0:10:52] Voice 5: And once we have your approval and First Nations comments,

[0:10:56] Voice 5: we will then go back to the minister

[0:10:57] Voice 5: and provide that to them and ask them to do further review.

[0:11:00] Voice 5: view. At which point, depending on what the minister's office says, we will likely continue

[0:11:05] Voice 5: to engage with the landowner and come back to you with the final transfer agreement or conservation

[0:11:11] Voice 5: covenant depending and ask you to move forward. In this RFD, we did note that there was a little bit

[0:11:18] Voice 5: of lack of clarity on whether acquisitions included conservation covenants. And the

[0:11:24] Voice 4: minister's

[0:11:24] Voice 5: office did come back yesterday to confirm that they include conservation

[0:11:29] Voice 5: covenants as acquisitions

[0:11:30] Voice 4: so

[0:11:31] Voice 5: includes all of the work we do in terms of land

[0:11:35] Voice 5: securement the the other two pieces I just wanted to flex that's related to

[0:11:43] Voice 5: land securement the other things that the ITC plan authorizes the board to do

[0:11:47] Voice 5: is manage land and also to invest funds and the minister's

[0:11:51] Voice 5: letter was silent on

[0:11:52] Voice 5: these two items so part of the recommendation to the board is that you

[0:11:56] Voice 5: make and we have already communicated this with staff but essentially that you make a formal

[0:12:00] Voice 5: request to the minister to ask you know can you proceed with land management or do they want to

[0:12:05] Voice 5: see plans for land management going forward on covenants and acquisitions and similarly we've

[0:12:11] Voice 5: asked if we can have permission you know whether they would what we're suggesting is that you act

[0:12:15] Voice 5: ask if we could have permission to invest funds as per the trustee act um to allow us to continue

[0:12:23] Voice 5: to invest our funds and to grow those funds over time. Okay, so in addition to those, so that's

[0:12:32] Voice 5: related to the first piece of the resolution. The second piece that we're asking for is endorsement

[0:12:37] Voice 5: of changes to the ITC project charter or the project charter for the ITC plan. And those have

[0:12:45] Voice 5: been provided to you as an attachment and have been highlighted in red on that document. I'll

[0:12:53] Voice 5: pull it up for you

[0:12:54] Voice 12: um

[0:12:55] Voice 5: essentially we've just added some background to indicate that the minister

[0:12:59] Voice 5: declined to approve the interim plan and has asked us to take more time to adequately engage with

[0:13:03] Voice 5: first nations um and then i have done a little bit and and just so that you know these project

[0:13:11] Voice 5: charters are designed to be a really high level view of a project um so that you know the work

[0:13:16] Voice 5: plan overviews and um and the budget items are very broad um

[0:13:21] Voice 4: but

[0:13:22] Voice 5: essentially we're asking for

[0:13:24] Voice 5: your endorsement of you know working towards first nations engagement plan um being complete uh that

[0:13:32] Voice 5: the first nations engagement occur between april this year and april next year um that some of that

[0:13:40] Voice 5: that overlap with ITC plan development, which is we're hoping we can begin in January next year

[0:13:48] Voice 5: in hopes that we can then return to nations as part of that large window of time with them to

[0:13:53] Voice 5: say, hey, does this match what you have told us in our discussions with you? And then we move

[0:13:59] Voice 5: towards approval in April 2025. And the reason for that early approval is so that we can then,

[0:14:06] Voice 5: And as per our internal policies, go for referral to local trust committees, Bowen Island Municipality, Trust Council and other conservancy partners.

[0:14:15] Voice 5: And from our experience, that takes several months just because

[0:14:19] Voice 5: of the scheduling of meetings.

[0:14:21] Voice 5: So being done by April 30th would allow us the needed amount of time to do that before returning to the board with a final draft for approval and to send to the minister's office.

[0:14:33] Voice 5: I have some concerns with the tightness of this timeline it's set up as if we are following the

[0:14:41] Voice 5: minister's request for that 2026 beginning and so the board part of the recommendation is the

[0:14:48] Voice 5: board may want to request an extension to that deadline and then we would adjust this depending

[0:14:56] Voice 5: depending on that. For budget, just so you know, we're planning on a budget of around $35,000.

[0:15:04] Voice 5: $20,000 of that has been approved by Trust Council at its meeting last week. Yes, thank you to those

[0:15:11] Voice 5: who were...

[0:15:12] Trustee Smith (probable): But just to clarify, the $10,000 was still left over from previous, that's been put

[0:15:17] Trustee Smith (probable): into surplus. Yeah,

[0:15:18] Voice 5: and so we're pulling that piece from surplus, and then $10,000 is coming

[0:15:22] Voice 5: from a grant that we had so

[0:15:25] Trustee Smith (probable): we only have 20 000 info not previous 10 000 plus 20.

[0:15:29] Voice 5: that's right

[0:15:30] Voice 5: and then what i'm proposing is that we also pull 15 000 from other budget lines that the board has

[0:15:37] Voice 5: um as

[0:15:38] Trustee Smith (probable): needed because that 20 000 is not really new money it's like 10 000 left over

[0:15:43] Voice 5: and 10 000

[0:15:44] Voice 5: from the grant

[0:15:45] Voice 5: yeah yeah so if we and at this point we're not certain what we will need in

[0:15:51] Voice 5: in terms of funds for First Nations to engage,

[0:15:55] Voice 5: I've been having conversations

[0:15:57] Voice 5: with the director of trust area services

[0:15:59] Voice 5: around what the policy statement has required.

[0:16:02] Voice 5: And so I think we're within those windows

[0:16:06] Voice 5: based on what's happening there.

[0:16:08] Voice 5: But if it looks like we're getting a lot of uptake

[0:16:11] Voice 5: and we require more funds, we will likely come back to you.

[0:16:15] Voice 5: And then the course of action would be to make her

[0:16:17] Voice 5: either find money within your budgets

[0:16:20] Voice 5: or go back to executive committee

[0:16:22] Voice 5: and see if they're willing to adjust those budgets.

[0:16:30] Trustee Smith (probable): So I'm just looking at the coordination support,

[0:16:35] Trustee Smith (probable): page 19 sort of described who you'll be working with.

[0:16:43] Trustee Smith (probable): with the new administrative coordinator function,

[0:16:46] Trustee Smith (probable): function, the Islands Trust, the full-time position that we've been trying to fill for

[0:16:51] Trustee Smith (probable): a year, that was sort of a coordination function, and I thought there was going to be

[0:16:55] Trustee Smith (probable): basically anything to do with First Nations engagement and referrals and coordination of

[0:17:00] Trustee Smith (probable): all those pieces.

[0:17:01] Voice 9: So before that position started, I'm reluctant to commit the time to,

[0:17:05] Voice 9: because the Conservancy has an administrative assistant, and the role of that position for

[0:17:11] Voice 9: the Conservancy at this time will be the establishment of a database to manage the

[0:17:15] Voice 9: contacts produce the content when you want to do a mail merge it will produce the the contacts that

[0:17:20] Voice 9: you need and bring them up to date to provide the structure of the support yeah i do still see the

[0:17:24] Voice 9: conservancy being the primary developer of the letters right yes

[0:17:29] Voice 9: yeah um yeah so at this point

[0:17:31] Voice 9: i think it's still realized generally within the conservancy once that position's up and moving

[0:17:36] Voice 9: and certainly we can have see how full it is and then have further conversation

[0:17:40] Trustee Smith (probable): we're not talking

[0:17:41] Voice 9: two different databases.

[0:17:42] Voice 9: No, it's going to be

[0:17:43] Trustee Smith (probable): one database for all. Thank you. It's such a crucial

[0:17:46] Trustee Smith (probable): piece to have coordination between the Conservancy and the

[0:17:50] Trustee Smith (probable): Trust that some folks don't understand how

[0:17:53] Trustee Smith (probable): that's linked, but I think in this critical area of prestations and engagement. Yeah, I'm excited

[0:17:58] Trustee Smith (probable): for that project

[0:17:59] Voice 9: for sure. Josh wants to fill that role and get going.

[0:18:02] Trustee Smith (probable): Okay, sorry. I have one question

[0:18:05] Trustee Smith (probable): to um in this first year like uh where the engagement happens is that all we're doing

[0:18:12] Trustee Smith (probable): on the um itc five-year plan is first nations engagement is that the idea except for next

[0:18:19] Trustee Smith (probable): january to march we start the

[0:18:21] Voice 5: running yeah what we've heard from nations is they want early

[0:18:24] Voice 5: engagement which we understand to mean we have not put pen to paper we are going to speak with

[0:18:29] Voice 5: them on their wishes and so no I'm not anticipating any writing occurring perhaps in December if

[0:18:36] Voice 5: there's time but probably January February being the larger time frame and I guess that alludes to

[0:18:43] Voice 5: another thing that I should let you know about before and then I'll turn it over for further

[0:18:48] Voice 5: questions is that this will take a lot of my time in particular and some administrative support as

[0:18:54] Voice 5: as well. And so one of the cautions in this RFD is that it does preclude the board moving forward

[0:19:02] Voice 5: with a few things. It will delay further review of new policies. So we do have on our docket

[0:19:09] Voice 5: working on risk policies. And so I'm anticipating moving forward on that fairly soon, you know,

[0:19:16] Voice 5: that will come to the board. But after that, it's likely we will not be have the time or the

[0:19:20] Voice 5: the ability to work on new revisions of policy.

[0:19:23] Voice 5: It'll also delay the development of our reconciliation action plan,

[0:19:27] Voice 5: but I do think that it will inform that plan once we get going.

[0:19:32] Voice 5: To the point around the contact relationship management database,

[0:19:35] Voice 5: it's going to delay our transition to that.

[0:19:38] Voice 5: So we will still be working in the sort of old spreadsheet format of some of

[0:19:43] Voice 5: the First Nations information,

[0:19:46] Voice 5: information. Although we do have our own CRM product that we use for donors and things like

[0:19:53] Voice 5: that. And it will reduce our hours available for any work that the CAO and the director of trust

[0:19:59] Voice 5: area services have, particularly on things like provincial funding support for ITC. So, and a few

[0:20:06] Voice 1: other things

[0:20:07] Voice 5: that are listed there. So I did want to just really, I think this is important work and

[0:20:11] Voice 5: we should move forward. And so the recommendation stands that we move forward on this because it's

[0:20:14] Voice 5: a fairly critical component of ITC work but it will it will mean that if you make requests of

[0:20:21] Voice 5: my time going forward I will likely say okay what in this plan do you want to defer because it will

[0:20:26] Voice 5: take some some time and yeah

[0:20:29] Trustee Smith (probable): so I have a question about that so we're really lucky we did get the

[0:20:34] Trustee Smith (probable): funding for the new position which is

[0:20:36] Trustee Smith (probable): the operational manager that we're calling operational

[0:20:39] Trustee Smith (probable): we're calling it a team lead yeah project

[0:20:41] Trustee Smith (probable): management team lead project management team

[0:20:44] Trustee Smith (probable): okay so that uh i'm super excited about that and that will take a lot of work off your level

[0:20:51] Trustee Smith (probable): because you won't be managing all the people on the operational side so that's super exciting

[0:25:40] Voice 9: chief administrative officer coming in. So in the next six months, we're going to be challenged to

[0:25:47] Voice 9: advance this i think oh for sure um yeah so i would just flag that so and then you as a board

[0:25:52] Voice 9: have to decide is this is this a strategic priority of the board or is it really a funding

[0:25:57] Voice 9: issue of trust council which which which staff should be allocated to advancing that initiative

[1:54:35] Trustee Smith (probable): And so the big piece that I keep when you get a financial planning committee, what we always look at is, oh, the fee levy increase for Bowen Island Municipality is so much higher.

[1:54:47] Trustee Smith (probable): Whenever we increase in staffing, operational, trust area services and conservancy, but land use planning doesn't impact it.

[1:54:55] Trustee Smith (probable): So there's a tricky, Bowen isn't complaining at all.

[1:55:04] Trustee Smith (probable): they love the conservancy of the work that we do they told us that directly it's that financial

[1:55:08] Trustee Smith (probable): planning committee go they just zero in on the numbers and then we'll end up getting cut or

[1:55:13] Trustee Smith (probable): sacrificed is services and conservancy so i think this is part of the problem why we can't ever get

[1:55:20] Trustee Smith (probable): past these capacity issues and you pointed to it we're uh we have a growth what is it the a growth

[1:55:27] Trustee Smith (probable): model yeah there's that people are only ever going to want to continue conserving land and

[1:59:55] Trustee Gauvreau: and we oversee the organization's governance structure, ensuring transparency and efficiency.

[2:00:00] Trustee Gauvreau: Our responsibilities include reviewing policies, communications, providing recommendations to Trust Council, and our main goal is effective governance.

[2:00:11] Trustee Gauvreau: Presently, we're reviewing the 2022 governance review. Board members are evaluating and summarizing its recommendations.

[2:00:19] Trustee Gauvreau: It's worth noting that the current Trust Council has yet to assess the governance review formally.

[2:00:25] Trustee Gauvreau: The report has recently been forwarded to staff to gather their input as they have not

[2:00:30] Trustee Gauvreau: had a chance to provide insights or opinions either.

[2:00:33] Trustee Gauvreau: It's important to hear from both staff and trustees regarding the 50 recommendations

[2:00:37] Trustee Gauvreau: in the report before proceeding further.

1. CALL TO ORDER 
Chair Smith called the meeting to order at 10:09 a.m. Trustee Yates provided a land 
acknowledgement.

3.1 Motion to Close the Meeting 
ITC-2024-007 
It was MOVED and SECONDED, 
that the meeting be closed to the public in accordance with the Community Charter, 
Part 4 Division 3, section: 90 (1) (e) the acquisition, disposition or expropriation of land 
or improvements, if the islands Trust Conservancy Board considers that disclosure could 
reasonably be expected to harm the interests of the Islands Trust Conservancy; (g) 
litigation or potential litigation affecting the Islands Trust Conservancy; (i) the receipt of 
advice that is subject to solicitor-client privilege, including communications necessary 
for that purpose; and that staff be invited to remain in the meeting.

The meeting was closed to the public at 10:14 a.m. and recessed from 12:05 p.m. until 1:00 p.m. The 
meeting reconvened in open meeting at 1:07 p.m. to rise and report. 
4. RISE AND REPORT 
From the January 23, 2024 in-camera meeting 
 The Islands Trust Conservancy Board instructed staff to proceed with the development 
of a risk management policy for all nature reserves, which includes warning users of the 
risk of danger trees. 
 The Islands Trust Conservancy Board directed staff to begin work on signage for the 
S’ul-hween X’pey (Elder Cedar) Nature Reserve on Gabriola Island, to address risk 
management efforts.

5. MINUTES/COORDINATION 
5.1 Minutes of Meetings/Resolutions without Meetings 
5.1.1 Approval of the January 23, 2024 Regular Meeting Minutes 
The following amendment to the minutes were presented for consideration: 
Remove “on the Natural Area Protection Tax Exemption Program (NAPTEP)” in 
the first part of the sentence under Item 5.4.6. 
By general consent, the minutes were adopted as amended.

6. BUSINESS 
6.1 Items for Approval

6.1.1 Islands Trust Conservancy Plan – Minister’s Response & Project Charter – 
Request for Decision 
Manager Emmings presented the request for decision and advised any new 
acquisitions or covenants need to come to the Minister for review before the 
Board signs off on them. 
Discussion ensued on: 
 If Islands Trust Conservancy (ITC) is able to work with the new 
Administrative Coordinator position for First Nation referrals. Director 
Frater advised the role of the Administrative Coordinator position is to 
manage the contacts and establish the contact database for First Nations, 
and the ITC Administrative Assistant would still be responsible for 
production of correspondence. 
 Potential of filling the new Property Management Team Lead position with a 
current ITC member through a temporary assignment, to provide higher 
level experience and relieve the ITC Manager of some workload. Director 
Frater clarified the position needs to be classified first and decisions on 
when and how to post the position falls with the Chief Administrative 
Officer. 
 Capacity of Trust Area Services and ITC, balancing priorities during hiring of 
the CAO position and policy statement work, and potentially hiring a 
consultant 
 Including ITC Board priorities as an agenda item (new business item for next 
agenda) 
 Requesting provincial funding to support ITC 
 Not deferring the plan to 2027 
 Advising the Minister that ITC is starting engagement with First Nations but 
may require an extension depending on First Nation response time 
 Timeline and next steps to engage with First Nations, including sending a 
letter to First Nations from the ITC Chair, inviting them to co-write the plan 
and craft mutual priorities (this would not be treated as a referral process) 
 Working together with First Nations to define and work on conservation 
 Using a survey to determine First Nations main interests 
 Taking an open approach and letting nations tell us what is important to 
them 
ITC-2024-008 
It was MOVED and SECONDED, 
that the Islands Trust Conservancy (ITC) Board direct staff to respond to the 
Minister of Municipal Affairs letter, dated January 29, 2024, acknowledging 
directions in the letter regarding the ITC Plan and requesting: 
a. Authorization to invest ITC funds as permitted under the provisions of the 
Trustee Act; and, 
b. Direction regarding interaction with the Minister regarding management of 
new acquisitions of covenants and nature reserves.

ITC-2024-009 
It was MOVED and SECONDED, 
that the Islands Trust Conservancy (ITC) Board approve the Project Charter, 
dated March 19, 2024, for the development of the 2026-2030 ITC Plan.

6.1.2 Land Securement Policy Revisions - Request for Decision 
Manager Emmings presented the request for decision and noted that the policy 
amendments reflect the Board’s direction for early First Nations engagement 
prior to approval of securement projects. 
ITC-2024-010 
It was MOVED and SECONDED, 
that the Islands Trust Conservancy Board approve Policy 2.2, Assessing 
Conservation Proposals, as revised.

ITC-2024-011 
It was MOVED and SECONDED, 
that the Islands Trust Conservancy Board approve Policy 2.3, Acquisition and 
Management of Land, as revised.

ITC-2024-012 
It was MOVED and SECONDED, 
that the Islands Trust Conservancy Board approve Policy 2.4, Conservation 
Covenants, as revised.

6.1.3 Doris McHardy NAPTEP Proposal (North Pender) – Request for Decision 
Ecosystem Protection Specialist Martell presented the request for decision 
advising the parcel is smaller than allowed based on current policy, however the 
parcel is adjacent to the Lisa Baile Nature Reserve, provides continuation, and 
species at risk habitat. The application has been forwarded to the Minister for 
review. 
ITC-2024-013 
It was MOVED and SECONDED, 
that the Islands Trust Conservancy Board approve the conservation proposal 
submitted by Sara Miles, Mike Timmins, and Vivian Mitchell, to place a NAPTEP 
covenant on approximately 0.6 ha of North Pender Island, PID: 005-837-651, Lot 
6, Sections 18 and 22, Pender Island, Cowichan District, Plan 6294, subject to 
review of First Nations responses and to Ministerial approval, to protect 
woodlands and herbaceous habitats, maturing dry Douglas-fir forest, and 
adjacent protected areas.

6.1.4 Trincomali Nature Sanctuary (Galiano) Groundwater Monitoring Request - 
Request for Decision

Chair Smith declared a conflict of interest and left the meeting at 2:33 pm. 
Trustee Gauvreau stepped in as Vice-Chair.  
Manager Emmings presented the request for decision. 
Discussion ensued on if there were residences on the nature reserve prior to the 
transfer and staff confirmed that there were not but that wells are sometimes 
drilled when development is being considered. 
ITC-2024-014 
It was MOVED and SECONDED, 
that the Islands Trust Conservancy Board approve the request from the Galiano 
Conservation Association to install a water meter at the existing drilled well on 
Trincomali Nature Sanctuary to log water levels and temperature data to inform 
a water conservation project on Galiano Island, subject to: 
1) Proper installation as guided by the Water Sustainability Act and 
Groundwater Protection Regulation regarding work in and around 
groundwater wells; 
2) Removal of all equipment at the end of the project.

6.1.5 Galiano Conservation Association Funding Request for 2024 Salish Sea 
Conservation Forum – Request for Decision 
Strategic Fund Development Specialist Richards presented the request for 
decision and advised the event was originally planned for April 2024, but due to 
lack of partner availability, Galiano Conservation Association is postponing to 
the fall of 2024. 
Discussion ensued on which fund this would come from and preference is for 
this not to come from the Opportunity Fund. 
ITC-2024-015 
It was MOVED and SECONDED, 
that the Islands Trust Conservancy Board approve a contribution of $3,500 to 
support the 2024 Salish Sea Conservation Forum on Galiano Island as it assists 
Islands Trust Conservancy to meet objectives 1.3 and 4.2 of the 2018-2027 
Regional Conservation Plan.

Manager Emmings provided the Board with a status update for conservation 
projects following the decision to decline approval of the ITC Plan by the 
Minister of Municipal Affairs.

concurrent rezoning application

for review, requesting a quick response

Manager Emmings advised Sheila Harrington has requested support for her 
book launch, there is no policy on this, and it would be good to have Board 
direction on a response. 
Discussion ensued on not supporting financially, setting a precedence, and 
staff/board capacity.

that the Islands Trust Conservancy Board decline the request from Sheila 
Harrington to financially support the launch of her book.

6.4.6 Executive Committee Update 
Trustee Elliott advised that Executive Committee (EC) really wants to keep 
meeting with the Islands Trust Conservancy (ITC) to strategize on how to gain 
support from the province. ITC communications and story telling at Trust 
Council and at Financial Planning Committee is needed. Next Trust Council is on 
Salt Spring, and will include the 50
th
 Islands Trust anniversary celebration, where 
there is good opportunity to showcase ITC, and there will possibly be ministry 
attendance. EC will be looking at the Governance Report in June. 
ITC-2024-017 
It was MOVED and SECONDED, 
that the Islands Trust Conservancy (ITC) Board request that the Executive 
Committee set aside 45 minutes for an ITC presentation to Trust Council at the 
June 2024 meeting.

6.4.7 Financial Planning Committee Update (none) 
6.4.8 Trust Council Update (verbal) 
Trustee Elliott advised the budget passed. The ITC report to Trust Council in this 
agenda packages is the summary that Manager Emmings provided. 
Chair Smith also advised she gave a very short report to Trust Council and if 
anyone would like to view her speaking points, let her know. 
6.4.9 ITC Report to Trust Council (quarterly report)

6.4.10 Governance Committee Update (verbal)  
Trustee Gauvreau advised the Governance Committee is a standing committee 
that oversees the organization’s governance structure, ensuring transparency 
and efficiency. Responsibilities include reviewing policies and communications, 
and providing recommendations to Trust Council, with the main goal is effective

governance. The Committee is currently reviewing the 2022 governance review. 
Committee members are evaluating and summarizing the recommendations.  
The current Trust Council has yet to assess the review formally and the report 
was recently forwarded to staff for input. Trustee Gauvreau commented it is 
important to hear from both staff and Trustees on the 15 recommendations on 
the report before proceeding further. The report needs to be reviewed and 
discussed at Trust Council before a letter is drafted to the province. A special 
meeting has been planned with Great Northern Management, the original 
consultants of the 2022 plan. A meeting date is anticipated for the end of June.  
The Committee is gathering legal opinions that led to the September 
presentation at Trust Council and the legislative mandate under section 3 of the 
Islands Trust Act. In September, Islands Trust Council selected interpretations of 
the Islands Trust's mandate and released a statement about interpretation, 
which is available online. 
At the January meeting, a Committee member raised a point of order regarding 
the voting procedure for the ITC ex-officio member. The committee discussed 
whether or not the ITC ex-officio is eligible to vote as the bylaw in unclear given 
that the Trust Council Chair ex-officio is not eligible to vote. This matter and the 
Committee’s Terms of Reference will be added to a future meeting as 
Committee Chair Gedye has ruled that unless the bylaw states otherwise, the 
ex-officio member will have voting rights. Trustee Gauvreau advised she is 
enjoying being a full member of the Governance Committee.

One member of the public from Gabriola joined the meeting as an attendee but did not have 
specific items to address.
