Election of Chair of the Governance Committee 
 
 
RECOMMENDATION:  
 
That Trust Council adopt amended Trust Council Policy 2.3.1 [Council Committee System] dated 
December 6, 2022 that specifies that the Chair of the Governance Committee be elected by Trust 
Council from amongst its membership. 
 
CHIEF ADMINISTRATIVE OFFICER COMMENTS:  The proposed changes are inconsequential from an 
organizational point of view, but will improve accountability and transparency on this new committee. 
  
 
1 PURPOSE:  
To provide Trust Council the opportunity to elect the Chair of the Governance Committee, rather 
than the Governance Committee electing the Chair. 
 
2 BACKGROUND: 
Trust Council created the Governance Committee in June 2022 by resolution, with the 
membership of seven elected by Trust Council from its membership.  Trust Council subsequently 
updated and adopted Policy 2.3.1 [Council Committee System] in September 2022, and adopted a 
new Policy 2.3.5 [Governance Committee Terms of Reference] at the same time.  
 
The Executive Committee passed the following resolution on November 23, 2022: 
 
That Executive Committee amend the December Trust Council schedule to include on the 
Thursday, elections for the Governance Committee. 
 
That Executive Committee ask staff to create a Request for Decision for Trust Council to 
amend its policy on the election of the Governance Committee so that the chair of the 
Governance Committee is elected by Trust Council at large followed by the six members 
of the Governance Committee. 
 
Staff has amended the attached Council Committee System Policy 2.3.1 to reflect the proposed 
changes. New language in Section 1.1.3 indicates that the Chair of the Governance Committee 
shall be elected by Trust Council before Trust Council elects the remaining six Governance 
Committee members. The membership remains as it was established in June 2022 with up to 
seven voting members, and the Trust Council Chair and Islands Trust conservancy appointed 
member as a non-voting ex-officio members.

Staff has amended Section 2.1 to indicate election of Chairs at the first meeting of the committees 
does not apply to the Governance Committee (as the Chair for the Governance Committee would 
be elected by Trust Council if these amendments are approved). This section still requires that the 
Governance Committee, like all other committees, elects a Vice-Chair at its first meeting. 
 
The rationale for the proposed amendments to Policy 2.3.1 Council Committee System to allow 
Trust Council to elect the Chair of the Governance Committee is due to the high interest amongst 
trustees and the public regarding the governance of the Islands Trust. Having Trust Council elect
